Wholesale Terms & Conditions

By activating your wholesale account with Lula Eye Masks you are deemed to have read and accepted these terms and conditions and have agreed to be bound by them. 

These terms and conditions apply to all wholesale orders placed through Lula Eye Masks. Please take a few minutes to read the below information about the legal Terms and Conditions that apply to you as a Stockist (Wholesale customer).

This Wholesale Agreement (“Agreement)’ is a legally binding agreement between Lula Eye Masks (the supplier, also referred to as we, our or us) and you (the Retailer, also referred to as you or your) and contains the Terms and Conditions of purchasing wholesale items from Lula Eye Masks.

In the event of a violation of these terms and conditions, Lula Eye Masks reserves the right to seek all remedies available by law and in equity.

WHOLESALE APPROVAL
If you would like to become an approved Lula Eye Masks retailer you must apply for approval for a Lula wholesale account. To be approved for an account you must submit a Wholesale Application form. Once your application has been approved you will be sent a confirmation via email with all the information required to place your first wholesale order.

The decision of whether or not to approve a retailer as a Lula Eye Masks wholesaler will be made in our absolute discretion.  We reserve the right to reject your application without having to provide any reason to you. We will not be liable to you for any decision by us to do so.

MINIMUM ORDER VALUE
The minimum spend for your first order is 10 of each scent Jasmine, Rose and Unscented and a minimum of 10 of one scent for all subsequent orders. 
Please note that this does not include freight and excludes GST. 

Payment of all orders is Pro forma before the dispatch of goods. 

The RRP for each Product is listed on our main website (www.lulaeyemasks.com.au) and in our Lula Eye Mask Look Book. 

There is no obligation for a retailer to comply with the RRP, however you acknowledge that the RRP is recommended by us to protect the brand, value and reputation of our name and products.

SHIPPING AND HANDLING
Shipping is charged at a flat rate of $25 throughout Australia.
Estimated despatch is within 48 hours (MON - FRI) of receipt of payment. 

Lula Eye Masks engages the services of 3PL for the warehousing and dispatch of goods.

Delivery dates are approximate and for guidance only. We try our best to get your order dispatched to you as soon as possible, but we are sometimes affected by delays outside of our control.

We are not responsible if you provide the incorrect contact details or delivery address at checkout or if your delivery is taken without authority from the address to which it was delivered. If an order is returned to us undelivered, we will refund your payment less any shipping costs

ORDERING
Once you have been approved as a retailer you will receive a log in to our Wholesale Ordering system. Orders must be placed via our online ordering system.

PAYMENT TERMS
Payment is required prior to the dispatch of your orders and can be made immediately when placing an order.

Payments can be made either via Credit Card (VISA or MASTERCARD).

Once your order has been paid and dispatched you will receive tracking information via email.

RESALE
All items purchased must be offered for resale by you to the general public using the approved store or website on your wholesale account.

Items must not be resold via third party websites or locations (including but not limited to eBay, Etsy, Facebook, Gumtree, Ozsale and Amazon)

We will/can provide you with access to images for use on your website and social media. Content includes flat-lays and lifestyle images, as well as social media content. You are only permitted to use the content for the purposes of marketing the products for sale by you. 

WHOLESALE REFUNDS AND RETURNS
We are happy to provide replacements if they are shown to be faulty, damaged or incorrect. Please contact us within 24 hours of receiving your order if you believe there are faulty items or if a mistake has been made. 

SUSPENSION OR CANCELLATION OF WHOLESALE ACCOUNT
Lula Eye Mask reserves the right to suspend or cancel your wholesale account in the following circumstances: 

You have engaged in improper or prohibited trading practices including, but not limited to, selling Lula Eye Mask products from an unapproved outlet or using Lula Eye Mask images, logos or any other intellectual property in a manner inconsistent with these Terms and Conditions or our rights as intellectual property holders;

You have failed to pay for orders or have attempted to cancel more than one order;

You have failed to advise us of a change to your selling practices, locations or any other material factor relevant to our wholesale approval process;

Contravention of any part of our Wholesale Terms and Conditions or any other circumstance that has occurred, which has rendered you unfit or inappropriate, by Lula Eye Masks, to be an authorised seller representing our brand

All intellectual property including but not limited to our designs, packaging, logo, product materials, product ingredients, images and products belongs to us at all times.

Without limiting the generality of the foregoing, all images, photographs, logos and products are ©Lula Eye Masks.  All rights reserved.  No form of reproduction or manipulation in whole or in part is authorised unless accompanied by a written licence issued by  Lula Eye Masks. 

Unless a written licence agreement provides to the contrary, you have no right or licence to use any of our intellectual property other than for the express purpose for which same was provided to you.  

WAIVER
The failure by Lula Eye Masks to enforce any term or condition of this Agreement shall not be treated as a waiver of that term or condition, nor shall it affect the rights of Lula Eye Masks to subsequently enforce that term or condition

CHANGES TO WHOLESALE
Lula Eye Masks reserves the right to make changes to the Terms and Conditions that govern our wholesale relationships, at any time. We will notify current wholesale account holders of any such changes.

Furthermore, we reserve the right to make alterations to our wholesale products, prices, shipping methods, returns policies or any other part of our wholesale process.
